CONFIDENTIALITY AGREEMENT

1．ACCEPTER

Regarding accepter, it is defined here as the supplier who has been cooperating with Obligee and the companies who will proceed the business affairs action, such as quoting, quotation negotiation, sampling in order to create business cooperation with Obligee. As a representative of company mentioned above, the accepter has negotiated with Obligee concerning future cooperation.

2． OBLIGATION

The accepter has responsibility to keep confidential concerning all information provided by Obligee information mentioned above will be used only for evaluation of possibility for cooperation, and used only during the period of cooperation, not be achieved to personal target, occupied, and adopted by the third part. It is forbidden as well as to divulge to the third part without approval by writing from Obligee.

Provided the Agreement have not contained relevant stipulations or have contained any ambiguous stipulations, the Accepter shall still cling to a prudent and honest attitude, and take all essential and rational measures to maintain the confidential information that it acquires during his stint, so as to keep such information in confidentiality.

3. SECRET AGREEMENT

All persons to whom the Confidential Information is distributed shall subscribe confidentiality agreements with the receiver and the receiver shall use all reasonable efforts to cause such persons to comply with this Agreement.

The accepter is demanded to take the responsibility, to adopt legal method to prohibit the persons who left the accepter to use the information illegally from cooperation or anticipated cooperation.

3.  CONFIDENTIAL INFORMATION

All confidential information provided by Obligee involves science and technology issue, specification (list), documentation, samples and other correspondence which is from Obligee and employees who are working in. This agreement comes down to information which is outward or official promulgated by representative of Obligee.
