LETTER OF ENTRUSTMENT ______________________, A company duly organized and exist under the laws of___________ and having its address at ____________________________ (in the following referred to as "foreign party") and Brighten Law Firm, A firm duly organized and exist under the laws of China and having its address in of Jiangsu Province, Peoples Republic of China (in the following referred to as "entrusted party") have reached the following letter of entrustment: 1. Content of the letter of entrustment The foreign party has the intention to establish a wholly foreign-owned enterprise in the Jiangsu Province, Peoples Republic of China. Therefore the foreign party shall provide certain documents to the entrusted party in order to fulfill the laws and regulations necessary to set up such an enterprise in the Peoples Republic of China. The entrusted party will provide any necessary service to the foreign party in order to the foreign party's intention to get the certificate of approval of the examination and approval authorities of the Peoples Republic of China. This service includes the following: * Examination of the project-report and submission to the relevant examination and approval authorities.* To get in contact with those entity who are in charge of the water, electricity, environment protection, fire control and all other necessary entity to provide the complete documentation for the examination and approval authorities.* Application to the administrations for industry and commerce within 30 days after receiving the certificate of approval for registration and a business licence.2. Necessary Documents The foreign party shall provide the necessary documents for the establishment process such as: * Application for establishing a wholly foreign-owned enterprise (the items shall include the information which is listed under chapter ii, article 16, no. I to 14 under the establishment procedures described in the detailed rules for the implementation of the law of the PRC on wholly foreign-owned enterprises in china.)* feasibility study report (as outlined in the list the entrusted party has provided to the foreign party)* articles of association (incorporation) of the enterprise (the items shall include the information which is listed under chapter ii, article 16 no.1 to 9 under the establishment procedures described in the detailed rules for the implementation of the law of the PRC on wholly foreign-owned enterprises in China)* copy of the foreign party's company registration certification* list of legal representatives of the new enterprise (candidates for the board of directors) including their biographical notes, copied of their passports, four passport photographs of each candidate, one member of the board of directors will also be general manager* documents of testimonial and financial credit of the foreign party* all other documentation which is necessary for the approval process3. Obligations of the two parties .3.1. The foreign party shall provide all of the above mentioned documents before ________________to the entrusted party. The foreign party will inform the entrusted party of any delays immediately. 3.2. The entrusted party will inform the foreign party within 5 days from the receiving date of the documents. If there is any information which is incomplete or information or documentation to be added, the entrusted party will inform the foreign party within those 5 days. The foreign party then shall provide the documents within another 10 days. Once the documentation is complete the entrusted party will take the documentation to the relative examination and approval authorities. 3.3. The entrusted party will inform the foreign party immediately after the examination and approval authorities have approved the application and have issued the approval certificate. 3.4. The entrusted party will inform the foreign party accordingly about the following approval procedures of national examination organs which might be involved after the approval and examination of local authorities. 3.5 The entrusted party will undertake every action which is possible under the given laws of the Peoples Republic of China to insure that the foreign party will obtain the foreign owned enterprise within the Jiangsu Province of the Peoples Republic of China.
Both parties are aware that certain approval and examination procedures do take time and that this time can not be influenced by one or the other party. However both parties assume that the process of establishment will be finished before ________________. 5.2 This letter of entrustment gets into effect in the moment where the entrusted party receives the payment mentioned under 5.1. 5.3 All matters not explicitly mentioned in this letter of entrustment and related to the establishment process will be settled between the two parties in good faith and on the basis of international business practices. 5.4 The letter of entrustment exists in duplicate. Each of the party holds a copy.
